1. Agreement

By accessing or using the Foixar platform (“Service”) you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service. These terms form a binding agreement between you (or the organisation you represent) and Foixar Corporation, a United States company based in Texas.

2. Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. You may not sublicense, resell, or re-distribute the Service without our written consent.

3. Accounts, Trials, and Access

  • You are responsible for maintaining the confidentiality of your account credentials.
  • Each tenant account is isolated — you must not attempt to access data belonging to other tenants.
  • You must ensure all users added to your tenant comply with these Terms.
  • Trial access may be limited in duration, usage, functionality, or connected resources. Unless agreed otherwise in writing, trials are provided for evaluation and may expire automatically at the end of the trial period.
  • We reserve the right to suspend accounts that violate these Terms.

4. Acceptable Use

You must not use the Service to:

  • Upload content that is unlawful, harmful, or infringes third-party intellectual property.
  • Attempt to reverse engineer, decompile, or extract source code from the platform.
  • Perform automated scanning, scraping, or load testing without our prior written consent.
  • Use the Service to build a competing product.

5. AI-Generated Content

The platform uses AI to generate specifications, code scaffolds, governance recommendations, reports, and summaries. AI-generated output and agent findings are provided to assist your engineering and governance workflows. Unless a separate agreement states otherwise, they are advisory and must be reviewed by qualified engineers or authorised decision makers before use in production. Foixar is not liable for errors in AI-generated output that are not caught during your review process.

6. Customer Data

You retain ownership of all data you upload to or connect with the platform (“Customer Data”), including repositories, pull requests, diffs, feature briefs, decisions, business context, audit artifacts, rule values, and generated outputs derived from your Customer Data. You grant Foixar a limited licence to process Customer Data solely to provide, secure, support, and improve the Service. We do not use Customer Data to train AI models without your explicit consent.

7. Intellectual Property

All platform software, UI design, brand assets, documentation, proprietary agent logic, model instructions, validation methods, orchestration methods, rule schemas, audit infrastructure, and governance engine components are the exclusive intellectual property of Foixar Corporation. Customer-configured rule values, tenant content, connected resources, and Customer Data remain yours. Nothing in these Terms transfers Foixar platform IP ownership to you.

8. Customer Resources and Integrations

Foixar supports bring-your-own AI model providers, storage providers, source control systems, work tracking systems, and identity integrations. You are responsible for the availability, permissions, security, quotas, billing, compliance, and lawful use of any resources you connect to the Service, including Azure OpenAI or Azure AI Foundry, AWS Bedrock, Google Vertex AI, Azure Blob Storage, Amazon S3, Google Cloud Storage, GitHub, Azure DevOps, and Microsoft Teams. Foixar may process prompts, outputs, repository metadata, pull request data, and decision content through those connected resources as needed to provide the Service.

9. Service Availability

We target 99.9% monthly uptime for Enterprise customers with committed SLAs. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by events outside our reasonable control, including failures, misconfiguration, quota exhaustion, billing restrictions, or outages in customer-managed or third-party cloud resources.

10. Limitation of Liability

To the maximum extent permitted by law, Foixar's total liability arising from or related to these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental damages.

11. Cancellation and Termination

Either party may terminate the agreement with 30 days' written notice. On termination, you may request a data export within 14 days. After 90 days post-termination, all Customer Data will be permanently deleted from our systems.

12. Governing Law

These Terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the state or federal courts located in Texas, unless a separate written agreement states otherwise.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or in-platform notice at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
